Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and GitVertex ("Company," "we," "us," or "our"), and govern your access to and use of the Service. The "Service" means the GitVertex platform available at gitvertex.com, including its APIs, integrations, and related documentation. GitVertex is a trade name (d/b/a) of Parabolic Enterprises, LLC.
By accessing or using the Service, you agree to these Terms.
1. Eligibility and Scope
The Service is intended for users in the United States. You must be at least 18 years old to use the Service. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.
2. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate account information and keep it current. If you become aware of any unauthorized use of your account, you agree to notify us promptly.
We may suspend or restrict access to your account at any time if we reasonably believe it is necessary to protect the Service, other users, or third parties.
3. Service Description and Third-Party Integrations
The Service provides workflow, collaboration, and analytics features for software teams. This includes pull request tracking, review queues, activity feeds, delivery metrics, automations, and notifications. The Service offers optional integrations with third-party platforms such as GitHub, GitLab, Slack, Stripe, Resend, Google Analytics, and Sentry.
Your use of any third-party service is subject to that provider's own terms and policies. We do not control and are not responsible for the availability, accuracy, or practices of third-party services. Outages, changes, or disruptions to third-party platforms may affect the functionality of the Service and are outside our control.
4. Your Data and Permissions
You retain ownership of your content and data. By using the Service, you grant us a limited, non-exclusive license to host, process, transmit, and analyze your data as reasonably needed to operate, secure, and improve the Service. This license exists only for as long as you use the Service and is subject to the data handling practices described in our Privacy Policy.
You represent that you have the rights and permissions necessary to connect repositories, accounts, and workspace data to the Service, and that doing so does not violate any third-party rights or agreements.
We may create and use de-identified and aggregated analytics derived from usage of the Service. These analytics do not identify you or any individual user.
5. Acceptable Use
You agree not to use the Service for any unlawful, fraudulent, or infringing purpose. You may not attempt to gain unauthorized access to any systems, accounts, or data, or interfere with the security, integrity, or availability of the Service. You may not upload or transmit malware, abusive automation, spam, or harmful code. Reverse engineering, decompiling, or disassembling the Service is prohibited except to the extent expressly permitted by applicable law.
6. Fees, Billing, and Trials
Paid features are billed through Stripe on the pricing terms presented at checkout. Subscriptions renew automatically unless canceled before the renewal date, and monthly and annual fees are billed in advance. Upgrades may be prorated immediately, while downgrades and seat decreases generally take effect at the next renewal.
New team workspaces automatically start with a 14-day Pro trial. Any conversion to a paid subscription requires your explicit checkout consent. All fees are non-refundable except where required by applicable law, and you are responsible for any applicable taxes.
We may modify, limit, or discontinue free-tier features or usage limits at any time. We will make reasonable efforts to notify free-tier users of material changes in advance, but continued access to free features is not guaranteed.
7. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate your access for material breach, security risks, non-payment, or unlawful use. On termination, your right to use the Service ends immediately.
If you voluntarily cancel your account, we delete your data in accordance with the retention schedule described in our Privacy Policy. If we terminate your access for cause (for example breach, abuse, or unlawful use), data deletion may begin immediately.
8. Intellectual Property
The Service, including its software, design, branding, and related intellectual property, is owned by us or our licensors and is protected by applicable law. Except for the limited rights expressly granted in these Terms, no rights or licenses are transferred to you.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT ANY DATA SYNCED THROUGH INTEGRATIONS WILL BE COMPLETE OR ACCURATE AT ALL TIMES.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100 USD).
These limitations apply to the fullest extent permitted by law and do not apply where prohibited.
11. Indemnification
You agree to defend, indemnify, and hold harmless GitVertex and Parabolic Enterprises, LLC d/b/a GitVertex, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.
12. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules.
13. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
a) Informal Resolution First
Before initiating any formal proceeding, you agree to contact us at [email protected] and describe the dispute. Both parties agree to attempt to resolve the dispute informally for at least 30 days before initiating arbitration.
b) Binding Arbitration
If the dispute is not resolved informally, either party may commence binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Arbitration will be conducted by a single arbitrator, in English, in the State of New Jersey (or by videoconference if both parties agree). The arbitrator may award the same relief that a court could, including injunctive or declaratory relief, but only to the extent required to satisfy the individual claim.
c) Class Action and Jury Trial Waiver
YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL. YOU AND THE COMPANY EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. Unless both parties agree otherwise in writing, the arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding.
d) Small Claims Exception
Either party may bring an individual action in small claims court in the State of New Jersey (or the county where you reside) if the claim qualifies. If the small claims court action is transferred, removed, or appealed to a different court, the other party may elect to enforce this arbitration agreement.
e) Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. The notice must include your name, account identifier, and a clear statement that you decline arbitration. If you opt out, the Governing Law section above still applies, and disputes will be resolved exclusively in the state or federal courts located in New Jersey.
f) Severability of Arbitration Clause
If the class action waiver in subsection (c) is found unenforceable, then the entirety of this arbitration section will be deemed void. If any other portion of this section is found unenforceable, the remaining portions will remain in effect.
14. Changes to Terms
We may update these Terms from time to time. Updated Terms become effective when posted. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. For material changes, we will make reasonable efforts to provide notice through the Service or by email before the changes take effect.
15. General Legal Terms
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, internet outages, or government actions.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. A failure by us to enforce any provision is not a waiver of our right to enforce it in the future.
These Terms, together with any applicable order forms or service-specific terms, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements on the subject matter. Provisions that by their nature should survive termination will survive, including those related to ownership, disclaimers, liability limits, indemnification, payment obligations, and dispute resolution.
You may not use the Service in violation of applicable export control or sanctions laws.
